Introduction
These Terms & Conditions (“Agreement”) govern the use of services provided by Designics (“Company”, “we”, “our”, or “us”). By accessing our website or engaging with our services, you (“Client”, “you”, or “your”) agree to be legally bound by the terms outlined below. If you do not agree with any part of these terms, you should not proceed with using our services.
Scope of Services
Designics provides a range of creative and digital services including graphic design, website design and development, 2D animation, video production, video editing, and Meta Ads management. All services are delivered strictly according to the scope defined in the approved proposal, quotation, or written agreement. Any work requested outside of the agreed scope will be treated as an additional service and may result in extra charges.
Project Engagement
A project is considered officially confirmed only when the client approves the proposal or quotation and the required upfront payment has been received. Any discussions, whether verbal or informal, will not be considered binding unless they are documented and agreed upon in writing.
Payment Terms
All projects require an upfront payment, typically 50% of the total cost, which is non-refundable once the project has commenced. The remaining balance must be paid before final delivery, deployment, or transfer of files. For ongoing services such as Meta Ads management, payments are required on a monthly or milestone basis. Designics reserves the right to pause or suspend any project in the event of delayed or incomplete payments.
Project Timeline & Delivery
Project timelines provided by Designics are estimates and depend on the complexity of the work as well as the client’s responsiveness. Any delays in providing content, feedback, or approvals may result in an extension of the delivery timeline. Designics will not be held responsible for delays caused by the client or by external factors beyond our control.
Client Responsibilities
The client is responsible for providing accurate project requirements and all necessary content, including text, images, videos, and branding materials. The client must ensure that all provided materials are legally owned or properly licensed and do not violate any copyright, trademark, or legal regulations. Designics will not be held liable for any legal issues arising from the use of client-provided content.
Revisions & Changes
All projects include a limited number of revisions as defined in the initial agreement. Any additional revisions or major changes beyond the agreed scope may incur additional costs and may also impact the delivery timeline. Designics reserves the right to determine whether a request falls within the original scope or qualifies as additional work.
Intellectual Property Rights
Ownership of final deliverables will be transferred to the client only after full payment has been received. Until full payment is completed, all work remains the property of Designics. Designics retains the right to showcase completed work in its portfolio, website, and marketing materials unless otherwise agreed in writing. Any third-party assets used in the project remain subject to their respective licensing terms.
Confidentiality
Both Designics and the client agree to maintain confidentiality of all sensitive and proprietary information shared during the course of the project. Such information shall not be disclosed to any third party without prior written consent unless required by law.
Refund Policy
All upfront payments are non-refundable once the project has commenced and resources have been allocated. No refunds will be issued for completed or partially completed work. Any exceptions will be considered solely at the discretion of Designics.
Service-Specific Conditions
For website development projects, Designics is not responsible for third-party hosting, domain services, or server-related issues unless explicitly included in the agreement. For video production and editing services, the final output quality may depend on the quality of the provided footage and agreed production scope. For Meta Ads services, Designics does not guarantee specific results such as sales or leads, as performance depends on market conditions, audience behavior, and advertising budgets.
Limitation of Liability
Designics shall not be held liable for any indirect, incidental, or consequential damages, including loss of business, revenue, or data arising from the use of our services. All services are provided in good faith and to the best of our professional ability.
Termination
We reserve the right to terminate projects due to non-payment, unethical behavior, or breach of these terms. Clients will receive an official termination notice, and any partial work completed will be billed accordingly. In such cases, access to shared tools or raw files may be revoked. Legal actions may follow in cases of misuse, breach, or intellectual property violations.
